The following is an agreement ("Agreement") between you (hereinafter referred to as "you," "your," or "client") and Apruvd, LLC, an Arizona limited liability company and/or its affiliates (collectively, and individually, "Apruvd", "we", "our", or "us"). By selecting "I Agree," and by using services provided by Apruvd on the Apruvd website (the "Site") now existing or later developed in connection with any of the foregoing (collectively, the "Services") you acknowledge that you have read, have understood, and agree to be bound by this Agreement and to comply with all applicable laws and regulations and further waive any rights or requirements under any law or regulation in any jurisdiction which requires an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent permitted under applicable mandatory law.
If you do not agree to these terms, exit the Site and do not use any of the Services.
From time to time, Apruvd may modify this Agreement and post those modifications to the applicable Site. Your use of any Services after any such modification constitutes your acceptance of the modified Agreement.
By signing the merchant agreement presented to you and providing your payment information, you agree to the terms and conditions set forth in the merchant agreement which may include a recurring monthly charge.
1. YOUR ACCOUNT
1.1. By using the Site, you agree that you (i) are able to create a binding legal obligation, (ii) will use the Site at all times in compliance with these Terms of Service, (iii) will safeguard your password, and supervise the use of your account, and (iv) have the right to provide any information that you submit to the Site, that such information is true, accurate, and correct, and that you will update any information that becomes outdated or inaccurate.
1.2. You are responsible for maintaining the security of your account and the account settings that reflect your preferences. You are solely responsible for any activity that occurs under your account.
2. FREE TRIAL
2.1. If you register on Apruvd's website for a free trial, Apruvd will make one or more Services available to you on a trial basis free of charge until the earlier of (a) the end of the free trial period for which you registered to use the applicable Service(s), or (b) the start date of any purchased service subscriptions ordered by you for such Service(s). Additional trial terms and conditions may appear on the trial registration web page. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding. Any data you enter into the Services, and any customizations made to the Services by or for you, during your free trial may be permanently lost unless you purchase a subscription to the same Services as those covered by the trial, purchase upgraded services, or export such data, before the end of the trial period. You cannot transfer data entered or customizations made during the free trial to a service that would be different from that are provided "as-is" without any warranty.
3. OWNERSHIP AND PROPRIETARY INFORMATION
3.1. The content and information on the Site ("Apruvd Content") is proprietary to Apruvd or its licensors, suppliers, publishers, rights holders, or other content providers (collectively, and individually, "Apruvd Content Providers"). You agree not to modify, copy, distribute, transmit, share, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any Apruvd Content obtained from or through the Site.
4. USE RESTRICTIONS AND INTELLECTUAL PROPERTY
4.1. This Site may contain proprietary and copyright information, the terms of which must be observed and followed. Any unauthorized use of any content contained on this Site may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes. You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the content contained on this Site in whole or in part. Any questions concerning whether a trademark is a U.S trademark owned by Apruvd should be referred to Apruvd at email@example.com.
4.2. You also may not, without the permission of Apruvd, "mirror" any material contained on this Site on any other server. Any unauthorized use of any content contained on this Site may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
4.3. You will not upload, post, or otherwise make available on this Site any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark, or other proprietary right. You will indemnify Apruvd for any claims by third parties of infringement of copyrights, trademarks, proprietary rights, or any other harm resulting from such a submission of material by you.
4.4. The Site may not be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose without express written consent of Apruvd. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Apruvd without express written consent. You may not use any meta tags or any other "hidden text" utilizing Apruvd's name or trademarks without the express written consent of Apruvd. You may not misuse the Site. You may use the Site only as permitted by law. The licenses granted herein terminate if you do not comply with this Agreement.
4.5. To the extent your conduct, as judged by Apruvd in its sole and absolute discretion, restricts or inhibits any other users from using or enjoying any part of the Site, we may limit or suspend your access to the Site and seek other remedies.
5. INFORMATION COLLECTION AND USE
5.1. Apruvd collects personally identifiable information ("Personal Information") from you through the Services to allow us to provide the Services that will most likely meet your needs and preferences. We only collect Personal Information about you that we consider necessary for achieving this purpose.
5.2. In general, you can browse the Site and "opt-out" from providing us with any Personal Information. Once you agree to provide us with Personal Information, you are no longer anonymous to us. If you choose to use and/or purchase certain Services we may require you to provide contact and identity information, billing information, and other Personal Information as indicated on the forms throughout the Site. Where possible, we indicate which fields are required and which are optional. You always have the option to not provide information by choosing not to use or purchase a particular service.
5.3. Under some circumstances, we may require some additional financial information. We use your financial information, including credit card information, to verify the accuracy of your name, address and other information, as well as to bill you for your use of our services and products.
5.4. We may track certain information based upon your behavior on the Site. We use this information to do internal research on our users' demographics, interests, and behavior to better understand our customers. This information may include, but may not be limited to, the URL that you just came from, which URL you go to next, your computer browser information, and your IP address.
5.5. If you send us personal correspondence, such as emails or letters, or if other users or third parties send us correspondence about your activities or postings on the Site, we may collect and retain such information in a file specific to you.
6. USE OF YOUR PERSONAL INFORMATION
6.1. We use your Personal Information, and other information we obtain from your current and past activities on the Site to: resolve disputes; troubleshoot problems; measure consumer interest in our products and services; inform you about online and offline offers, products, services, and updates; customize your experience on the Site; detect and protect us against error, fraud and other criminal activity; enforce our Terms of Service Agreement; and as otherwise described to you at the time of collection. We may compare and review your Personal Information for errors, omissions, and accuracy.
